These terms and conditions contain legal obligations and constitute a binding agreement between the User of this Site and Universal Expansion Group, Inc. Please read this Terms of Use Agreement carefully before using this Site.
Welcome to Universal Expansion Group, Inc.’s website! Universal Expansion Group, Inc. is an international trade network, which provides services including, but not limited to, an online platform for members to barter their goods and services with other members, credit clearing solutions for companies to manage and collect their debt, and a certificate clearance auction marketplace for the public to purchase discounted goods and services. The UEG Site also contains an online community for Users to facilitate networking among other Users. By using this Site, or any of the services offered on the Site, the User acknowledges that he or she has read and understands the terms and conditions in this Agreement and agrees to be bound, without limitation or qualification, by them. UEG may, from time to time, modify or amend this Agreement and post the updated Agreement on this website. The User is required to periodically review the Agreement, and the User’s continued use of the Site means that the User agrees to be bound by all of the posted terms and conditions in this Agreement.
If the User does not agree to any term in this Agreement, the User may not use this Site or any services offered on the Site. Users who violate any term in this Agreement may have their access to and use of the Site suspended or terminated.
Throughout this Agreement, the following definitions will apply:
“UEG” means Universal Expansion Group, Inc., a company incorporated under the laws of Barbados, and its affiliates and subsidiaries, including but not limited to Collective Currency Exchange and Credit Clearing Solutions.
“Site” means the internet websites owned and operated by UEG, including but not limited to www.collectivecurrency.info, www.dealacopia.com and any website that references these Terms of Use, and all content and services available on those websites.
“User” means any person accessing, using or viewing the Site for any purpose, whether professional or personal, and whether a Member or not.
“Member” means any person, business or corporation who applies for membership and has been accepted by UEG as a member in good standing and eligible for trading goods and services on the website, www.collectivecurrency.info.
All Users must be at least 19 years of age. By using this Site, you represent that you are at least 19 years old and have the legal capacity to agree to the terms and conditions in this Agreement.
Users agree to use the Site lawfully and in accordance with this Terms of Use Agreement.
UEG is the owner of the Site and its contents, including but not limited to services offered through the Site, graphics, images, data, logos, compilation and arrangement of information on the Site, codes and software, unless otherwise indicated.
UEG permits the User to copy, download and print content from the Site solely for the User’s personal, private and non-commercial use, and the User must retain all copyright, trademarks, logos and other proprietary marks or notices from the original content obtained from the Site.
Any use, reproduction, modification or distribution of any of the Site’s content for public or commercial purposes without UEG’s consent is an infringement of UEG’s intellectual property, and may violate copyright, trademark, patent and other laws. Such use, reproduction, modification or distribution is unauthorized and strictly prohibited. UEG reserves the right to seek damages, including pure economic loss, against any person, business or corporation that misuses UEG’s intellectual property in any manner.
If the User wishes to use any of the Site’s contents for public or commercial purposes, the User must seek permission from UEG and obtain a Licence for Use. To enquire about applying for a Licence for Use, please contact us.
UEG endeavours to use its best efforts to maintain the integrity of the Site and to provide User’s with an efficient and useful online platform for trading and networking. Please report any problems, violations or misuse of the Site to UEG, and UEG will investigate the matter.
UEG reserves the right to terminate a User’s access and use of the Site for any breach of this Terms of Use Agreement. UEG also reserves the right to cancel the Site for any reason whatsoever and without prior notice to Users.
The User expressly agrees that UEG shall not be liable for any damages whatsoever, including any direct, indirect, consequential, special, or exemplary damages, business interruption losses, loss of goodwill or reputation and lost profits, whether based on breach of contract, breach of warranty, tort or other legal principles, arising out of the User’s use or inability to use UEG’s Site, or the User’s reliance on information contained in the Site, whether or not UEG has been informed by the User, or should have been aware, of such potential loss.
The User agrees to release, indemnify and hold harmless UEG, its officers, directors, agents and employees, from any and all liability from any claims or actions by third parties, including accounting fees and legal costs to defend and settle such claims and actions, arising out of:
The User also agrees to cooperate with UEG in the defence of any such third party claims and actions.
This Agreement and any rights, duties or obligations between the User and UEG shall be governed by and interpreted solely in accordance with the laws of the Province of British Columbia, Canada, without reference to any of its conflict of laws rules. Subject to section 8 (Legal Disputes), the User and UEG also agree to submit to the exclusive jurisdiction of the courts of British Columbia, Canada.
The parties agree that the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded and does not apply to this Agreement.
UEG encourages the User to notify it of any concerns he or she may have prior to seeking legal recourse. In the event that such concerns cannot be resolved amicably, the parties agree that any dispute or claim arising for any reason whatsoever out of the use of the Site and this Terms of Use Agreement shall be handled by mediation in accordance with the laws of the Province of British Columbia, Canada. Should mediation not resolve the dispute or claim, the parties agree to submit to private and confidential binding arbitration in British Columbia, Canada, for final settlement of the matter, in accordance with the International Commercial Arbitration Act, RSBC 1996, c 233 and its amendments.
Notwithstanding this provision, UEG reserves the right to pursue any infringement of its intellectual property rights through injunctive or equitable relief in the courts of British Columbia.
